RANHILL BERHAD ("RB" OR "COMPANY")

DISCLOSURE OF DEALINGS DURING THE OFFER PERIOD IN RELATION TO THE VOLUNTARY TAKE-OVER OFFER BY LOSB CAYMAN LTD AND RB ("THE JOINT OFFERORS") TO ACQUIRE ALL THE REMAINING ORDINARY SHARES OF RM1.00 EACH IN RANHILL UTILITIES BERHAD ("RUB") NOT ALREADY HELD BY THE JOINT OFFERORS AND PERSONS ACTING IN CONCERT WITH THEM ("PAC")

Pursuant to Section 32 of the Malaysian Code on Take-Overs and Mergers, 1998 ("Code"), RB wishes to disclose the dealings in the ordinary shares of RUB (referred to as "Affected Securities") by the following persons:-

(i) the Joint Offerors and the PAC;

(ii) the chief executive, a director or an officer of the Joint Offerors who occupies or acts in a senior managerial position in the Joint Offerors, by whatever name called and whether or not he is a director;

(iii) a person who is a connected person in relation to persons referred to in paragraphs (i) and (ii) above pursuant to Section 32 of the Code; and

(iv) a person who is accustomed to act in accordance with directions or instructions of the persons referred to in paragraphs (i), (ii) and (iii) above,

(collectively referred to as "Affected Parties").

The details of the dealings in the Affected Securities by the Affected Parties are set out in the table below:-
